Terms of Service

1. Eligibility and authority

You must be at least 18 years old and legally able to enter into a contract. If you use the Service for a company or another person, you confirm that you have authority to bind them to these Terms. You must provide accurate account information and comply with laws that apply to you and your content.

2. The Service

Upload24 is a web-based social-media publishing platform for creators and businesses. It allows users to connect their own supported accounts, upload original videos, configure post settings, publish immediately or on a schedule, and monitor processing, publishing, and analytics from one dashboard. We may offer a developer API and account-group or automation features subject to plan limits.

Upload24 is not TikTok, Google, YouTube, or any other connected platform, and is not endorsed by them. Platform features remain subject to the platform's availability, permissions, review, limits, moderation, and terms.

3. Accounts and connected platforms

You are responsible for your Upload24 account, authorized users, API keys, and all activity under them. Keep credentials confidential and notify us promptly if you suspect unauthorized access. You may connect only a social account that you own or are expressly authorized to manage.

Social accounts are connected through the platform's OAuth authorization screen. We do not need your social-platform password. The authorization screen identifies the permissions requested, and you decide whether to grant them. You may disconnect an account in Upload24 or revoke access through the platform. Disconnecting an account stops new scheduled posts to it but does not undo content already sent or published.

4. Your content and license to us

You retain ownership of your videos, captions, thumbnails, metadata, and other material you submit ("User Content"). You grant us a limited, non-exclusive, worldwide license, for only as long as needed to provide the Service, to host, copy, process, format, transmit, and submit User Content and metadata to the destinations you select. We do not obtain the right to sell your content or use it in advertising.

You represent that:

• you own User Content or have all permissions needed to use and publish it;
• User Content and its publication do not infringe copyright, trademark, privacy, publicity, music, or other rights;
• all captions, disclosures, audience settings, and statements you provide are accurate and compliant;
• you will not instruct us to publish unlawful, deceptive, harmful, or abusive content.

5. Publishing and scheduling

You control the destination account, video, caption, timing, privacy, interactions, and other available post settings. Submitting or scheduling a post is your instruction and consent for Upload24 to store and transmit that content and those settings to the selected platform at the selected time. Review them before submitting. Do not schedule content if you will no longer have the right to publish it at the scheduled time.

TikTok posts

When posting to TikTok, you are responsible for complying with TikTok's Terms of Service, Community Guidelines, Music Usage Confirmation, Branded Content Policy, intellectual-property rules, and required commercial or AI-content disclosures. Content must be original or properly licensed. Do not use Upload24 to copy arbitrary content from other platforms, spam TikTok, mislead viewers, or add unwanted promotional watermarks, logos, links, or text.

TikTok may process, moderate, reject, delay, restrict, remove, or change the availability of a post. Processing may take several minutes or longer. Upload24 displays status information received from TikTok but cannot guarantee that any post will be accepted, published at an exact second, made public, remain available, or achieve a particular result.

Failed or delayed posts

Posts can fail or be delayed because of platform outages, expired or revoked authorization, account restrictions, rate or posting limits, moderation, invalid media, network failures, or other events outside our control. You are responsible for checking status and correcting issues that require your action. Automated retry features do not guarantee publication.

6. Acceptable use

You must not use the Service to:

• access or manage an account without the owner's authorization;
• publish illegal, infringing, deceptive, exploitative, hateful, or harmful material;
• send spam, manipulate engagement, evade platform limits, or coordinate inauthentic activity;
• upload malware or interfere with the Service, its users, or connected platforms;
• probe, scrape, reverse engineer, or bypass security except where law expressly permits;
• resell, share, or transfer access or API credentials without our written permission;
• misrepresent affiliation with Upload24, TikTok, YouTube, or another party;
• use connected-platform data for surveillance, discrimination, or targeted advertising.

We may investigate suspected violations, remove access to content, limit activity, or suspend accounts where reasonably necessary to protect users, platforms, the Service, or legal rights.

7. API and credentials

If your plan includes API access, you may use the API only for your own authorized workflows and according to our documentation and limits. API keys are secrets. Do not expose them in client-side code or public repositories. You must implement reasonable security, error handling, and rate-limit controls. We may rotate or revoke a key that is compromised, abused, or used in violation of these Terms.

8. Plans, billing, and cancellation

Features, quotas, prices, and billing periods are shown before purchase. Paddle is our merchant-of-record and payment provider and may apply its checkout terms. By starting a paid subscription, you authorize recurring charges for the selected billing period until cancellation.

You can cancel through the billing page. Unless the checkout states otherwise, cancellation takes effect at the end of the current paid period and does not retroactively refund charges. Refunds required by applicable consumer law remain available. Taxes and currency conversion may apply. We may change future pricing after reasonable notice; a change will not alter a period already paid for.

9. Third-party services

Your use of TikTok, Google/YouTube, WorkOS, Paddle, and other third-party services is also governed by their own agreements. We are not responsible for their content, decisions, security, downtime, API changes, account restrictions, moderation, or discontinued features. If a platform changes or withdraws access, some Upload24 features may stop working.

10. Our intellectual property

The Service, excluding User Content and third-party material, and its software, design, documentation, trademarks, and original content belong to us or our licensors. Subject to these Terms, we grant you a limited, revocable, non-transferable right to use the Service for its intended purpose. No other rights are granted.

If you send feedback, you allow us to use it without restriction or payment, but we will not identify you publicly without permission.

11. Availability and changes

We work to keep the Service reliable, but it is provided on an "as available" basis. We may maintain, update, replace, limit, or discontinue features, including in response to platform or legal changes. We will use reasonable efforts to give notice of material changes when practical. No uptime percentage is guaranteed unless a separate written agreement says so.

12. Suspension and termination

You may stop using the Service, disconnect platforms, cancel a paid plan, or request account deletion at any time. We may limit, suspend, or terminate access if you materially breach these Terms, create security or legal risk, fail to pay, abuse a platform, or if continuing the Service becomes unlawful or technically impracticable. Where appropriate, we will give notice and an opportunity to correct the issue.

On termination, your right to use the Service ends. Sections that by their nature should survive will remain effective, including ownership, payment obligations, disclaimers, liability limits, and dispute terms. Data is handled as described in the Privacy Policy.

13. Disclaimers and liability

To the maximum extent permitted by law, the Service is provided without implied warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted or error-free operation. Nothing in these Terms excludes a warranty or right that cannot legally be excluded.

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, lost profits or data, reputational harm, or decisions by connected platforms. Our total liability arising from the Service will not exceed the greater of the amount you paid us for the Service during the six months before the event giving rise to the claim or EUR 100. These limits do not apply where prohibited by law or to liability that cannot legally be limited.

You are responsible for claims caused by your User Content, your instructions, your breach of these Terms, or your violation of another person's rights. Where the law permits, you agree to reimburse reasonable losses and costs we incur from such claims.

14. Governing law and disputes

These Terms are governed by the laws of Ukraine, without regard to conflict-of-law rules. Courts of Ukraine have jurisdiction over disputes, except that consumers may retain any mandatory rights and venues available under the law of their country of residence. Before filing a claim, please contact us so we can try to resolve the issue informally.

15. Changes and contact

We may update these Terms. We will post the revised version here, change the "Last updated" date, and provide additional notice of material changes when required. Continuing to use the Service after revised Terms take effect means you accept them; if you do not, you must stop using the Service.
